You acknowledge that PREMIUM ACC is under no obligation to (i) provide any Enhancements, or (ii) continue providing or enabling any specific features and/or functionalities of the website to you.

You further affirm that all Enhancements will be (i) deemed an integral component of the website, and (ii) subject to the terms and conditions of this Agreement.

Third-Party Offerings and links thereto are provided purely for your convenience, and your utilization of them is entirely at your own risk and subject to the terms and conditions of such third parties.

Term and Termination

This Accord shall endure until terminated by you or PREMIUM ACC.

PREMIUM ACC may, at its sole discretion, at any time and for any reason, suspend or terminate this Agreement with or without prior notice.

This Contract will cease immediately, without any prior notice from PREMIUM ACC, if you fail to adhere to any provision of this Agreement. You can also terminate this Agreement by eliminating the website and all copies thereof from your computer.

Upon termination of this Agreement, you must halt all usage of the website and eradicate all copies of the website from your computer.

Termination of this Agreement will not limit any of PREMIUM ACC's privileges or remedies at law or in equity if you breach any of your obligations under this Agreement during its term.

If you are a copyright holder or the agent of such, and believe any material on our website infringes your copyright, please contact us providing the following details: (a) a physical or electronic signature of the copyright holder or an authorized individual; (b) identification of the material claimed to be infringing; (c) your contact details, including your address, phone number, and email; (d) a declaration by you that you have a sincere belief that use of the material is unauthorized by the copyright holders; and (e) a statement that the information in the notification is accurate, and, under penalty of perjury, you are authorized to act on behalf of the owner.

Indemnity

You consent to indemnify and safeguard PREMIUM ACC and its parents, subsidiaries, affiliates, officers, employees, agents, partners, and licensors (if any) from any claim or demand, including reasonable legal fees, due to or arising from your: (a) utilization of the website; (b) breach of this Agreement or any law or regulation; or (c) violation of any third party's rights.

No Guarantees

The website is provided to you "AS IS" and "AS AVAILABLE" and with all faults and imperfections without any warranty. To the highest extent allowed under applicable law, PREMIUM ACC, on its own behalf and on behalf of its affiliates and licensors, expressly disclaims all warranties, including implied warranties of merchantability, suitability for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice. Without limiting the foregoing, PREMIUM ACC provides no assurance or undertaking, and makes no representation of any kind regarding the website's compatibility, uninterrupted operation, performance, or error correction.

Without limiting the above, neither PREMIUM ACC nor any of its providers make any explicit or implicit representation or warranty: (i) concerning the operation or availability of the website, or the information, content, and materials or products contained thereon; (ii) that the website will be free of interruptions or errors; (iii) regarding the accuracy, reliability, or currency of any information or content provided through the website; or (iv) that the website, its servers, the content, or emails sent from or on behalf of PREMIUM ACC are free of harmful components.

To the maximum extent permitted by applicable law, PREMIUM ACC or its suppliers shall not be liable for any special, incidental, indirect, or consequential damages whatsoever, even if PREMIUM ACC or any supplier has been advised of the possibility of such damages. Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Severability

If any provision of this Agreement is deemed unenforceable or invalid, such provision shall be revised and construed to achieve the purposes of such provision to the fullest extent permitted by law, and the remaining provisions shall remain in full force and effect.

This Agreement, along with the Privacy Policy and any other legal notices issued by PREMIUM ACC on the Services, constitutes the entire agreement between you and PREMIUM ACC regarding the Services. If any provision of this Agreement is found invalid by a competent court, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect. No waiver of any term of this Agreement shall be considered a continuing waiver, and PREMIUM ACC's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision. YOU AND PREMIUM ACC AGREE THAT ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OTHERWISE, SUCH CLAIM IS PERMANENTLY BARRED.

Amendments to this Agreement

PREMIUM ACC retains the right, at its sole discretion, to modify or replace this Agreement at any time. Entire Agreement

This Agreement embodies the entire understanding between you and PREMIUM ACC concerning your use of the website and replaces all prior written or oral agreements between you and PREMIUM ACC.

You might be subject to additional terms and conditions when using or purchasing other services provided by PREMIUM ACC, which will be supplied to you at the time.

Updates to Our Terms

We may modify our Service and policies, which may necessitate adjustments to these Terms to accurately reflect our Service and policies. Unless legally required, we will notify you (e.g., through our Service) before making any changes to these Terms and provide an opportunity to review them before they take effect. If you continue using the Service after any alterations become effective, you agree to be bound by the revised Terms. If you disagree with these or any updated Terms, you can delete your account.

Intellectual Property

The website and all its contents, features, and functionality belong to PREMIUM ACC, its licensors, or other providers of such material and are protected by USA and international intellectual property laws. The material may not be copied, altered, reproduced, downloaded, or distributed in any manner, in whole or in part, without the express prior written consent of PREMIUM ACC, unless explicitly provided in these Terms & Conditions. Unauthorized use of the material is prohibited.

Arbitration Agreement

This section applies to any dispute EXCEPT FOR THOSE RELATING TO CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF REGARDING THE ENFORCEMENT OR VALIDITY OF INTELLECTUAL PROPERTY RIGHTS OF YOU OR PREMIUM ACC. The term "dispute" means any dispute, action, or controversy between you and PREMIUM ACC concerning the Services or this agreement, regardless of its grounding in contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable foundation. "Dispute" shall be construed to have the broadest possible interpretation permitted under the law.

Dispute Notification

If a dispute arises, either you or PREMIUM ACC must provide the other party with a Notice of Dispute, a written statement including the name, address, and contact details of the issuing party, the circumstances giving rise to the dispute, and the requested redress. You must send any Notice of Dispute via email to: [email protected]. PREMIUM ACC will send any Notice of Dispute to your address, if obtainable, or to your email address. After sixty (60) days, either party may initiate arbitration.

Binding Arbitration

If you and PREMIUM ACC are unable to resolve a dispute through informal negotiation, any further attempt to resolve the dispute will be exclusively through binding arbitration as outlined in this section. You relinquish the right to pursue litigation (or participate as a party or class member) in court before a judge or jury. The dispute shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Either party may seek interim or preliminary injunctive relief from any jurisdictionally competent court to protect their rights or property pending arbitration. Any legal, accounting, or other costs incurred by the prevailing party shall be borne by the non-prevailing party.

Submissions and Privacy

If you submit or post any concepts, creative suggestions, designs, photographs, information, advertisements, data, or proposals, you consent to such submissions becoming the property of PREMIUM ACC, without any compensation or credit to you. PREMIUM ACC and its affiliates have no obligations regarding such submissions and may use them for any purpose in any medium indefinitely.

Promotions

PREMIUM ACC may from time to time include contests, promotions, sweepstakes, or other activities ("Promotions") that may require you to provide material or information about yourself. All Promotions may have individual rules, including eligibility requirements. You must review all Promotion rules to determine your eligibility. By participating in any Promotion, you agree to comply with all Promotion rules.

Additional terms and conditions may apply to purchases of goods or services through the Services, which are included in this Agreement.

Typographical Errors

If a product or service is advertised at an incorrect price or with incorrect information due to typographical error, we reserve the right to refuse or cancel any orders placed for that product or service. We may refuse or cancel such orders even if they have been confirmed and your credit card was charged. In such instances, we will issue a credit to your credit card or payment account for the charged amount.

Miscellaneous

If any provisions of these Terms & Conditions are found by a duly empowered court to be unenforceable, the remaining provisions will remain fully effective. Waiver

Except as stipulated herein, the non-exercise of a right or the failure to demand performance under this Agreement shall not impact a party's ability to exercise such right or demand such performance at any future time, nor shall a waiver of breach constitute a waiver of any subsequent breach.

No failure or delay by either party in exercising any right or power under this Agreement shall be considered a waiver of that right or power. Furthermore, any partial exercise of any right or power under this Agreement will not prevent further exercise of that or any other right provided herein. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall take precedence.

Amendments to this Agreement

PREMIUM ACC retains the right, at its sole discretion, to modify or replace this Agreement at any time. If a modification is considerable, we will provide at least 30 days' notice before the new terms become effective. What constitutes a considerable change will be determined at our sole discretion.

By continuing to access or use our website after any revisions take effect, you agree to be bound by the modified terms. If you do not agree to the new terms, you must cease using PREMIUM ACC.

You and PREMIUM ACC will endeavor to resolve any dispute through informal negotiation within sixty (60) days from the issue date of the Notice of Dispute.
